These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and D&R LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of this website and any related media, mobile site, or application (collectively, the “Site”). We are registered in California, United States, with our registered office at 2807 Elvyra Way, Apt 106, Sacramento, CA 95821-5861. By accessing the Site, you agree to be bound by these Terms of Use. If you do not agree with them, you must discontinue use of the Site immediately.

We reserve the right to make changes or modifications to these Terms of Use at any time, and will update the “Last updated” date above when we do. Your continued use of the Site after revised Terms are posted constitutes acceptance of those changes.

All users who are minors in the jurisdiction in which they reside (generally under 18) must have the permission of, and be directly supervised by, a parent or guardian to use the Site.

Intellectual Property Rights

We reserve the right, in our sole discretion, to edit, re-categorize, or remove any Contributions at any time, though we have no obligation to monitor them.

Third-Party Websites and Content

The Site may link to third-party websites or content that we do not investigate, monitor, or control. Inclusion of such links does not imply our endorsement. If you leave the Site to visit a third-party site, you do so at your own risk, and these Terms no longer govern your use of that site.

Site Management

We reserve the right, but not the obligation, to monitor the Site for violations of these Terms, take legal action against violators, restrict or disable access to any content at our discretion, and otherwise manage the Site to protect our rights and its proper functioning.

Please review our Privacy Policy, which is incorporated into these Terms of Use by reference. The Site is hosted in the United States; if you access it from elsewhere, you consent to having your data transferred to and processed in the United States.

Digital Millennium Copyright Act (DMCA)

We respect the intellectual property rights of others. If you believe material on the Site infringes a copyright you own or control, notify us at the contact below with the information required under 17 U.S.C. § 512(c)(3): identification of the copyrighted work and the allegedly infringing material, your contact information, a good-faith statement that the use is unauthorized, and a statement under penalty of perjury that you are authorized to act on the copyright owner’s behalf. If you believe your own material was removed by mistake, you may submit a counter-notification with the information required under the DMCA.

Term and Termination

These Terms remain in effect while you use the Site. We reserve the right, without notice or liability, to deny access to the Site to any person for any reason, including breach of these Terms.

Modifications and Interruptions

We reserve the right to change, modify, or remove content on the Site, or to suspend or discontinue all or part of it, at any time without notice, and we will not be liable for any resulting loss, damage, or inconvenience.

Governing Law

These Terms and your use of the Site are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Dispute Resolution

The parties agree to first attempt to resolve any dispute through informal negotiation for at least sixty (60) days. Disputes that remain unresolved will be finally resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in Sacramento County, California, except for disputes involving intellectual property rights, allegations of theft or unauthorized use, or claims for injunctive relief, which are excluded from arbitration. Arbitration will proceed on an individual basis only, without class-action procedures.

Disclaimer

The Site is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we assume no liability for errors or inaccuracies in the Site’s content, unauthorized access to our servers, interruptions in transmission, or any bugs or malicious code transmitted through the Site by a third party.

Limitation of Liability

In no event will we or our directors, employees, or agents be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Site, even if advised of the possibility of such damages. Our total liability to you for any cause will be limited to the amount, if any, you paid us in the six months prior to the claim arising.

Indemnification

You agree to defend, indemnify, and hold us harmless from any claim or demand, including reasonable attorneys’ fees, arising from your Contributions, your use of the Site, your breach of these Terms, or your violation of a third party’s rights.

Miscellaneous
